1. Services
Barty Consulting Limited provides technology consulting services including but not limited to technology due diligence, diligence readiness assessments, and agency support services.
2. Engagement Terms
All engagements are subject to a written agreement that will specify the scope of work, deliverables, timelines, and fees. Services will be provided in accordance with professional standards and best practices in the industry.
3. Confidentiality
We maintain strict confidentiality of all client information and proprietary data shared during our engagements. All parties agree to keep confidential information secure and not to disclose it to third parties without prior written consent.
4. Intellectual Property
All deliverables and work product created specifically for a client engagement will be owned by the client upon full payment. Barty Consulting Limited retains ownership of its methodologies, frameworks, and pre-existing intellectual property.
5. Limitation of Liability
Our liability is limited to the fees paid for the specific engagement. We provide our services and recommendations in good faith based on the information available at the time of the engagement.
6. Payment Terms
Payment terms will be specified in the engagement agreement. Typically, payment is due within 30 days of invoice date unless otherwise agreed in writing.
7. Termination
Either party may terminate an engagement with written notice as specified in the engagement agreement. Fees for work completed up to the termination date will be payable.
8. Governing Law
These terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
9. Changes to Terms
We reserve the right to update these terms at any time. Continued use of our services after changes constitutes acceptance of the revised terms.
